1. Acceptance of Terms & Eligibility
By accessing, browsing, or utilizing the web workbench, API, or services provided by CarDealerStudio, Inc. ("CarDealerStudio", "we", "us", or "our"), you ("Dealer", "Customer", or "User") agree to be bound by these Terms of Service.
If you are entering into this agreement on behalf of an automotive dealership, auto repair facility, reconditioning shop, or legal entity, you represent and warrant that you possess full legal authority to bind said entity to these terms. If you do not agree to all terms herein, you must immediately cease use of our services.
2. Description of the AI Automotive Studio Service
CarDealerStudio provides a specialized, self-serve artificial intelligence visual restaging platform engineered specifically for pre-owned automotive dealerships and vehicle wholesalers.
Our automated pipeline extracts vehicles from outdoor lot photos (using computer vision edge isolation), reconstructs realistic grounded tire contact shadows and polished epoxy floor reflections, illuminates the subject with virtual studio softbox lighting grids, and applies dealership vanity plate inserts. Services are accessible through cardealerstudio.com and related API endpoints.
3. Intellectual Property & Commercial License
3.1 Your Raw Vehicle Photos
You retain sole and exclusive ownership of all right, title, and interest in and to any source media, vehicle walkaround photos, and digital assets you upload to CarDealerStudio ("Customer Media"). You grant CarDealerStudio a limited, non-exclusive, worldwide license solely to process, isolate, and transform Customer Media as necessary to fulfill your requested renders.
3.2 Rendered Showroom Output Commercial License
Subject to timely payment of applicable fees (or valid free trial enrollment), CarDealerStudio grants you a perpetual, worldwide, irrevocable, royalty-free commercial license to use, reproduce, modify, display, publish, distribute, and syndicate all output images generated through the platform ("Rendered Assets").
You are explicitly authorized to upload and syndicate Rendered Assets across all digital automotive retail channels, including without limitation Cars.com, Autotrader, CarGurus, Facebook Marketplace, Craigslist, Edmunds, and your proprietary dealership inventory management systems.
4. Dealer Vanity Plates & Vehicle Display Compliance
CarDealerStudio includes automated digital vanity plate branding features that overlay dealership text, phone numbers, or custom logos across vehicle license plate areas.
- Authorization Warranty: You warrant that you own or possess valid trademark licenses for any trade name, trademark, or logo applied to rendered plates.
- Jurisdictional Compliance: While vanity display inserts are industry-standard for online advertising across North America and Europe, you remain responsible for ensuring digital listings comply with specific state or provincial motor vehicle advertising statutes (e.g., California DMV Reg § 11713.1).
- Privacy Safeguard: Digital plate overlays serve to protect previous registered owners' privacy by obscuring state license sequences during retail syndication.
5. Subscriptions, Credit Pools & Billing Terms
5.1 Self-Serve Pricing & Billing Cycles
CarDealerStudio operates on a transparent, self-serve model with no mandatory annual contracts or forced demo meetings. Paid subscriptions (Starter at $29/mo, Pro at $59/mo) are billed in advance on a recurring monthly cycle via Stripe.
5.2 Photo Credit Pool & Deductions
Subscriptions include monthly Photo Credit Pools (e.g., 240 credits for Starter, 640 credits for Pro). Credits are deducted on a 1-credit per rendered photo basis. Standard vehicle walkarounds (8–10 photos) deduct 8–10 credits accordingly.
5.3 Booster Packs (Pay-As-You-Go)
Single-car passes ($1.29) and 5-Car Booster Packs ($4.99) are one-time purchases. Credits purchased via Booster Packs never expire and remain in your account pool until utilized.
6. Acceptable Use & Prohibited Conduct
You agree not to misuse the service. Prohibited activities include:
- Uploading non-automotive, offensive, defamatory, or unlawful content;
- Submitting media for which you do not possess legal rights or dealership authorization;
- Attempting to reverse-engineer, decompile, scrape, or extract underlying neural network models or pipeline weights;
- Reselling direct, unbranded API access to third-party software platforms without an Enterprise API Agreement;
- Deploying automated bots or scrapers to overload system infrastructure.
7. Third-Party Automotive Marketplaces
CarDealerStudio optimizes output dimensions, aspect ratios, and color profiles to conform with standard technical upload guidelines for major vehicle marketplaces. However, we do not control third-party platforms (Cars.com, Autotrader, CarGurus). We are not liable for listing suspensions, account penalties, or platform policy changes enforced by third-party marketplace operators.
8. Warranty Disclaimer
The service and all generated assets are provided on an "AS IS" and "AS AVAILABLE" basis. While our generative models achieve franchise-grade realism across 98%+ of production angles, CarDealerStudio disclaims all warranties, express or implied, including merchantability and fitness for a particular automotive marketing purpose.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CarDealerStudio, Inc. and its affiliates, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of inventory profits, vehicle sales, or business reputation.
In no event shall our total aggregate liability exceed the total amount paid by you to CarDealerStudio in the twelve (12) months preceding the incident giving rise to liability.
10. Governing Law & Customer Support
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
